1. General Provisions

1.1. These Terms of Service (“Terms”) govern the use of the AGP1 application (the “Service”) provided by BizCode Sp. z o.o. with its registered office at ul. Życzliwa 25/2, 53-030 Wrocław, Poland, entered in the National Court Register (KRS) under number 0000626823, NIP: PL8992794147, REGON: 364949966 (hereinafter: “BizCode”, “we”, “us”).

1.2. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1.3. The Service is a cloud-based CRM application designed for B2B sales teams, available at https://agp1.bizcode365.com.

2. Account and Access

2.1. Access to the Service requires an account created during onboarding. Each user receives individual credentials.

2.2. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.

2.3. You must notify us immediately at [email protected] if you suspect unauthorized access to your account.

2.4. BizCode reserves the right to suspend or terminate accounts that violate these Terms.

3. Early Access Program

3.1. AGP1 is currently in an Early Access phase. During this period:

• Access to the Service is provided free of charge.
• The number of users and records is unlimited.
• The Service is provided “as is” — features, interfaces, and functionality may change without prior notice.

3.2. When paid plans are introduced (expected Q3 2026), Early Access customers will receive preferential pricing terms, as agreed individually.

3.3. BizCode reserves the right to end the Early Access period with at least 30 days’ written notice.

4. Acceptable Use

4.1. You agree to use the Service only for lawful business purposes consistent with its intended function as a CRM application.

4.2. You must not:

• Attempt to gain unauthorized access to the Service, other accounts, or BizCode systems.
• Use the Service to store or transmit malicious code.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service in a manner that could damage, disable, or impair its operation.
• Share your account credentials with third parties.

5. Data Ownership and Processing

5.1. Your data belongs to you. All business data you enter into the Service (companies, contacts, opportunities, activities, and other CRM records) remains your property.

5.2. BizCode processes your data solely to provide and improve the Service, in accordance with our Privacy Policy and Data Processing Agreement.

5.3. Upon termination of your use of the Service, you may request an export of your data. BizCode will provide the data in a standard machine-readable format (CSV or JSON) within 30 days of the request.

5.4. After termination, your data will be deleted from our systems within 90 days, unless retention is required by applicable law.

6. Intellectual Property

6.1. The Service, including its source code, design, documentation, and branding, is the exclusive property of BizCode Sp. z o.o.

6.2. These Terms do not grant you any rights to BizCode’s intellectual property beyond the limited right to use the Service as described herein.

7. Availability and Support

7.1. BizCode will make commercially reasonable efforts to maintain the availability of the Service. However, we do not guarantee uninterrupted or error-free operation.

7.2. Planned maintenance will be communicated in advance where possible.

7.3. During the Early Access period, support is provided on a best-effort basis via email at [email protected].

8. Limitation of Liability

8.1. To the maximum extent permitted by law, BizCode shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

8.2. BizCode’s total liability under these Terms shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim.

8.3. During the free Early Access period, BizCode’s total liability is limited to direct damages not exceeding 100 EUR.

9. Changes to the Terms

9.1. BizCode may modify these Terms at any time. We will notify registered users of material changes via email at least 14 days before they take effect.

9.2. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

10. Governing Law and Disputes

10.1. These Terms are governed by the laws of the Republic of Poland.

10.2. Any disputes arising from or in connection with these Terms shall be resolved by the competent court in Wrocław, Poland.
